These terms govern your use of visipill.com and its pages (the "Site"), operated by Visipill, Inc. ("Visipill", "we", "us"). By using the Site you agree to them. If you do not agree, please do not use the Site.
What this Site is
The Site is informational. It describes Visipill, the medication dispensing appliance we are developing, and VisipillRx, our software for pharmacies. It is not the products themselves, and using the Site gives you no license or right to either product.
No offer of securities
Nothing on this Site is an offer to sell, or a solicitation of an offer to buy, any security. The Site describes a financing round and refers to investor materials. Those references are for general information. Any actual offering would be made only to qualified investors, only through definitive offering documents, and only in compliance with applicable securities laws. Any investment decision should be based on those documents, not on this Site.
Forward-looking statements and figures
The Site contains market sizes, accuracy figures, pricing, competitive comparisons, and statements about what our products will do. These are estimates, projections, and plans, drawn from company materials and cited industry research. They are inherently uncertain and are not guarantees. Competitive comparisons reflect vendor-published information at the time we compiled them, and vendor capabilities change. Actual results may differ materially.
Not medical advice
Nothing on the Site is medical advice, and nothing on it should be used to make a decision about anyone's medication. Talk to a licensed clinician or pharmacist about medication decisions.
Intellectual property
The Site and its contents, including text, images, product renderings, logos, and the Visipill and VisipillRx names, belong to Visipill, Inc. or its licensors and are protected by intellectual property law, including a granted United States utility patent covering the device. You may view and share the Site. You may not copy, republish, or use its contents commercially without our written permission.
Acceptable use
Do not use the Site to break the law, to interfere with its operation or security, to submit automated or bulk messages through the contact form, or to misrepresent who you are.
Third-party links
The Site links to other places, including visipillrx.com and our LinkedIn page. We are not responsible for the content or practices of sites we do not operate.
Disclaimer of warranties
The Site is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error free, or that its contents are accurate or complete.
Limitation of liability
To the fullest extent permitted by law, Visipill, Inc. and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or relating to your use of or inability to use the Site, whether based in contract, tort, negligence, strict liability, or any other theory, and whether or not we were advised of the possibility of those damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred US dollars (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of the above may not apply to you. In that case our liability is limited to the least extent permitted by law.
Indemnity
You agree to indemnify and hold Visipill, Inc. harmless from any claim or demand, including reasonable legal fees, arising out of your misuse of the Site or your breach of these terms.
Governing law
These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction.
Changes
We may update these terms. When we do, we will change the date at the top. Continuing to use the Site after a change means you accept the updated terms.
